Sidley Austin Brown & Wood involved in the first covered
bond transaction by UK issuer
London – International law firm Sidley Austin
Brown & Wood recently acted for the lead managers, Goldman Sachs
International and Citigroup in the first issuance of a covered bond
by HBOS Treasury Services plc (HBOS TS).
The HBOS TS covered bond issuance was ground breaking in that it
is the first covered bond transaction by a UK issuer and the first
accomplished under English law. In the absence of a statutory framework
within the UK, the HBOS TS programme required the creation of a
new type of structure which draws on aspects of traditional MTN
programmes and RMBS structures.
Sidley Austin Brown & Wood worked closely with Allen
& Overy, who represented HBOS TS, in helping structure the
transaction.
