In addition to structured finance expertise, he has many years of experience as a corporate lawyer and business advisor and has participated in a variety of corporate transactions, including mergers and acquisitions, leveraged buyouts, initial public offerings, leveraged aircraft leasing, and computer hardware and software development, acquisition and licensing arrangements.

He has advised clients from financial institutions, finance companies, government agencies, government sponsored entities, and investment banking firms on numerous transactions, including asset-backed securities issuances, resecuritization of financial assets, net interest margin transactions, and debt and equity offerings. He also has significant experience in transactions involving numerous asset types, including single family and multifamily residential mortgage loans, commercial mortgage loans, automobile and recreational vehicle loans and leases, and various types of receivables. In addition, he has worked on initial public offerings, mergers and acquisitions, and debt offerings for issuers and underwriting firms.

He has represented clients as issuers, underwriters, and purchasers' counsel in connection with public offerings, private placements, and commercial paper transactions. He has recently represented two major issuer clients in the structuring and implementation of a Securities and Exchange Commission registered master indenture note trust as a primary vehicle for the issuance of asset-backed securities. In addition, he represented issuers in repackagings of subordinated interests into ERISA eligible notes sold in private placements, pursuant to Rule 144A.

His experience includes securitization of single family residential, multifamily, and commercial mortgage loans; reverse mortgage loans; auto and recreational vehicle loans; boat loans; franchise loans; floorplan receivables; unguaranteed portions of SBA 7(a) loans; government obligations; previously issued securities and other assets; and offerings of corporate debt and equity. He has represented issuers, underwriters, and investors in public offerings and private placements of securities backed by performing, subperforming, and non-performing assets, utilizing REMIC, FASIT, owner trust, grantor trust, and other structures (fixed and revolving) through U.S. and offshore issuing vehicles. His practice also includes servicing transfers, whole loan sales, financings, and related matters.
